CLIENT TERMS & AGREEMENT DETAILS

CLIENT WILL RECEIVE AN EMAIL REQUIRING THEY SIGN AND AGREE TO THESE TERMS.

TIMELINES 
Final schedules are set once all content is delivered. This agreement will list all references to Stage Door Designs as SDD. All sites must go live within 120 days of deposit. Sites that are promised in one day or one week are subject to our standard work schedule: Monday - Friday 9am - 5pm ET, excluding holidays. The clock begins when we have received all of your content. If content is not received, Stage Door Designs will use placeholder content. Upon full payment, client will have one opportunity to replace images, links or copy. All content must be delivered via: www.stagedoordesigns.com/upload. Sites must go live within the 120 day trial period or all invoices become due.

RUSH SERVICES
Our offices are open Monday - Friday (excluding holidays) from 9 am - 5 pm ET. Rush services can be provided based on our availability at an additional cost.

SITE UPDATE REQUESTS / RESUME UPDATES
Two business days are required for any updates and edits to avoid rush service fees. Most updates can be completed within 3-4 business days. 

COPYRIGHT & USAGE
The client may use the final design as delivered. Graphics designed for you are yours to keep.  The client indemnifies SDD against copyright claims. 

CLIENT-ACCESSIBLE SITES
If changes are made to the design or code, the client bears full responsibility for the changes. Restoring sites broken because of client error may be repaired at additional cost. Client will be required to sign a separate agreement if they wish to access and update their site. 

FEES & PAYMENTS are included in your quote and invoice. Payments are due in two installments (deposit and balance on completion) unless otherwise agreed.  Additional detail follows: 

  • Website Builds: Payable in two installments unless otherwise agreed. Your terms will be outlined on your invoice.

  • DIY sites: Deposit to begin; balance due after your Zoom session

  • Domain Registration: Upon purchase or renewal if we manage or hold your domain name(s)

  • Resumes/Profiles: Deposit to begin, balance upon completion in advance of final file delivery

  • Hosting: Annual fee required; hosting must be with SDD or Squarespace. If your site is not renewed and paid for, it will go offline until payment is received. A restoration fee will apply if the site requires reinstatement.

  • Payment terms and deposits are outlined on your invoice: payment options: Venmo, Zelle, Credit Card, Check. There is a returned check fee of $50.

    DIY terms are outlined in your invoice and explained below **

  • Other fees may apply based on your project quote and invoice

  • Should clients become unreachable or non-responsive with payment due, sites will not be maintained live until payment is received. Should payment involve a domain renewal, the client bears the risk of losing their domain to the open market.

  • SDD reserves the right to update pricing with 30 days advance notice

  • Late payments may incur a 1.5% monthly fee

  • Design rights are not transferred until payments are received in full

    OTHER TERMS AND CONDITIONS
    Back-End Access / Client Update Capability
    Access can be granted after launch. If edits compromise the site’s function, repair fees may apply. Clients must sign a separate agreement for update access.

    Client Portal
    Clients will receive access to a client portal (17 Hats) for access to all business documents. You will have access to all agreements and invoices via this portal. You will also be invited to Basecamp, our project management software. We encourage all communication through this portal or through our upload link: www.stagedoordesigns.com/upload 

    Content Delivery & Client Input
    Content must be delivered via our upload link. Stage Door Designs does not provide file archive services, unless otherwise arranged. Clients must maintain their own personal file archives. Alternate file delivery methods may incur charges (not applicable for DIY). Client agrees to complete planning materials and questionnaires. A call will be scheduled after submission to discuss and set your project timeline.

    Content & Media Guidelines
    All media must be delivered in the requested format; conversion may incur extra charges.

  • Image: High-res retouched JPGs (not HEIC)

  • Video: YouTube/Vimeo links

  • Audio: MP3 or 3rd-party embeds (ie, Soundcloud, Spotify)

  • Text: Word documents (proofed and approved). All copy content should be delivered in its final approved state. Clients are responsible for accuracy unless add-on copy services are purchased


Copyright & Permissions
The client is responsible for ensuring you have rights to all submitted content. We are not liable for copyright issues. If we are notified of a copyright issue, we retain the right to remove the content in question and will notify the client of the same.

Credits & Promotion
Designer credit will appear in the footer of all live sites. Written requests for omission may result in a fee. We may display your project in our portfolio in perpetuity, even if they site is no longer live.

Design Terms & Revisions
Custom sites include initial design concept with 2 sets of revisions or edits unless otherwise specified. DIY, One Day and One Week sites are entitled to 1 set of revisions. Additional revisions or scope changes will require a new quote for added work. Preliminary designs remain the property of SDD. Any client-generated graphics or provided images remain the client's property once bills are paid in full. 

Domain Names
You may elect to provide and register your domain name(s).  Alternatively, SDD is also able to purchase and manage the domain registration process for you. If we do not manage it, a separate agreement applies. Support for external domains may incur added fees. GoDaddy or Squarespace are SDD's preferred registrars. 

Media File Transfers
Requests to transfer files may incur a fee based on the time involved and the scope of work.

Mobile Design
All SDD sites are mobile responsive, with similar content appearing on desktop, tablet, and mobile views. Custom and unique mobile layouts are available at an additional cost unless it is outlined in your quote/invoice. 

Newsletter
Clients are added to our newsletter list for updates. You can unsubscribe at any time. If you choose to unsubscribe, we will email you directly for communications related to your account. We encourage all clients to follow us on social media for important client updates, especially if you have unsubscribed from our newsletter list.

Refunds and Cancellations 
Payments made to Stage Door Designs are non-refundable once work has begun. This includes deposits, installment payments, and service fees. Refunds may only be issued before the start of any work and at the sole discretion of Stage Door Designs. In the case of a cancellation after work has started, work delivered or time spent on the project is considered billable and non-refundable. DIY, One Day and One Week site deposits are non-refundable.

SEO & Analytics
Basic SEO, favicon, and social share imagery are included on all SDD-built sites. DIY clients can update and add their SEO as part of the process. Advanced SEO, Google Analytics, Google Ads, and other SEO enhancements are available upon request. Premium level SEO will require a specialized quote based on the scope of work. 

Site Launch & Post-Launch Revisions
Clients will be provided with a live proof link to view their site(s). After the approved launch, you have 10 business days to communicate minor edits, adjustments, or error corrections. Additional changes may incur fees. Sites are then locked, and future updates will follow our standard update fee schedule.

Site Transfers
Sites may not be transferred away from SDD hosting plans.  Sites that are built on the Squarespace platform may be transferred to your ownership once all invoices are paid in full.  This request must be in writing.

Termination
You may cancel your site at any time. All invoices must be paid. We do not archive files unless requested in writing (annual archive fee applies). Media is deleted after 90 days of non-payment. Refunds are not provided if you terminate your site mid-subscription. All rights to delivered content become the property of SDD if your site is closed for non-payment.

Updates to Websites, Resumes, Profiles, and Other Materials
Updates and content edits of all types are available as an add-on service after final delivery. Our hourly rate of $150 applies with update sessions available in 15-minute increments. All update instructions must be delivered via email or upload link and are subject to a 48 business hour turnaround. Rush service may be available at an additional cost.

SUMMARY
Agreements are binding and represent the full understanding between the parties. Modification must be mutually agreed upon in writing. Disputes will be resolved through mediation or arbitration in New York State. Our liability is limited to the cost of the work billed, excluding hosting and domain registration fees.
We are committed to client satisfaction and will work with you to address concerns or resolve issues to the best of our ability within the scope of your agreement.

ADDITIONAL TERMS FOR DIY OR SELF UPDATE SITES **

This serves as the agreement between you and Stage Door Designs in exchange for providing you with access to our DIY Website Builder or Self Update Option
SDD will set up and deliver access to the site with full Admin capability and will provide access to the free Unsplash Stock photo gallery and Squarespace knowledge library

  • Your one-hour recorded Zoom call will take place when you have substantially completed the build. 

  • If you request additional calls, they will be billed at the hourly rate of $150.  

  • The client has 120 days to finish the site in the free trial period and acknowledges that they are fully responsible for the build and any actions taken while managing the site's development. Client also acknowledges responsibility for: 

    • Designing and building a website using their choice of features and elements

    • Selection of colors and fonts from the available Squarespace catalog

    • Addition of pages and code as needed to support their desired look

    • Providing all media content (copy, images, videos) and graphics

    • Optimization of all images

    • Securing a domain within Squarespace or another registrar

    • Connecting domain and Google Workspace Emails to the Squarespace account

    • Adding final features before going live (ie, SEO, tags, descriptions, favicon, social share)

    • Add desired SEO and tags to pages and images

    • Adjusting mobile view

    • Any work completed or updates made to the site are your responsibility. 

  • Stage Door Designs will not oversee your work unless otherwise arranged.

  • Any correction work required by Stage Door Designs will be billed at our hourly rate.

  • The software does not store archived versions of anything you have built. You can use the "save section" feature to save things you might want to use again. We cannot restore it if you remove or delete something from the site. Be aware that there is an UNDO feature that can be used while you are editing the site.
